For international investors, the investment-registration stage can be an important part of establishing a Saudi business.

MISA states that Investment Registration is available to eligible legal entities, foreign companies and certain individuals, and that requirements can vary according to the selected activity. MISA also notes that whether a local partner is required depends on the activity.

Is a SAGIA License the Same Thing?

In practice, yes. SAGIA — the Saudi Arabian General Investment Authority — was the body that issued foreign investment licenses before it became the Ministry of Investment of Saudi Arabia. The term "SAGIA license" is still widely used, including by investors who were advised years ago and by documents that predate the change, but the route it refers to is the MISA investment registration described above. If you have been told you need a SAGIA license, that is what is being asked for.

Foreign Ownership in Saudi Arabia

Foreign ownership is usually the first question an international investor asks, and the accurate answer is that it depends on the activity. 100% foreign ownership is available for many activities through the applicable investment route. Others carry activity-specific conditions, additional approvals from a sector regulator, or a local-partner requirement, and a small number are restricted.

Because the ownership position determines the entity type, the capital arrangement and the document set, we establish it for your specific activity before proposing a structure rather than after. MISA's own guidance is that requirements vary by the selected activity and that local-partner requirements depend on it, so a general answer found online is not a basis for a structure.

Document Attestation

Attestation is the step that most often decides how long a company formation actually takes. The Saudi side of the process moves at the speed the authorities set; the part that is genuinely within anyone's control is getting the foreign documents into an acceptable state before they are needed.

Foreign-issued corporate documents — commercial registration extracts, articles of association, board and shareholder resolutions and powers of attorney — generally require attestation before they can be used in the Saudi process. The chain typically runs from notarization in the country of issue, through legalization by the competent authorities there and endorsement by the Saudi diplomatic mission, to certified Arabic translation. The exact sequence depends on the country of issue, the document type and current requirements, and it changes.

Two things cause most of the delay we see. The first is starting attestation before the document checklist is confirmed, which produces attested documents nobody asked for and missing ones nobody noticed. The second is a mismatch — a company name, an activity description or an authorized signatory that reads differently across two attested documents — because correcting it means repeating the chain. We confirm the applicable checklist first and review the documents for consistency before anything is sent for attestation.
